Acceptance of Terms

By accessing and using the Softbase Evolution platform ("Software"), you agree to be bound by these Terms of Use and the Software License and Maintenance Agreement ("Agreement") entered into between your organization and Softbase Systems.

If you do not agree to these terms, you are not authorized to access or use the Software.


Use of the Software

  • The Software is licensed, not sold. Your organization is granted a non-exclusive, non-transferable license to use the Software as described in your signed Agreement.

  • Use is limited to the number of users licensed.

  • You may not reverse-engineer, modify, decompile, or otherwise tamper with the Software.


Data Ownership

All data entered by your organization remains your intellectual property. Softbase Systems will not share, copy, or sell your data, except when required for support purposes or with your written permission.


System Access

You are responsible for preventing unauthorized access to your systems. Any unauthorized use of the Software is a violation of these Terms and may result in termination of access.


Termination

These Terms remain in effect as long as your license agreement is active. Either party may terminate the license agreement with notice per the terms outlined in the MSA. Upon termination, you must discontinue use and either destroy or return all copies of the Software.


Intellectual Property

The Software and its underlying code are the sole property of Softbase Systems. You may not copy, distribute, or create derivative works without written permission. All trademarks and service marks remain the property of their respective owners.


Disclaimer of Warranty

The Software is provided "as is." Softbase disclaims all warranties, including merchantability and fitness for a particular purpose, except as specifically outlined in your signed Agreement.


Limitation of Liability

To the fullest extent permitted by law, Softbase Systems shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Software. In all cases, liability is limited to the amount paid by your organization during the last 12 months.


Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas. Any dispute arising under these Terms or your Agreement shall be resolved through arbitration in Houston, Texas, in accordance with the rules of the American Arbitration Association.


Modifications

We may update these Terms from time to time. If we make material changes, we will notify your organization. Continued use of the Software after updates constitutes acceptance of the revised Terms.
